License Agreement
Effective June 11, 2026
This End User License Agreement ("Agreement") is a legal agreement between you and Orchid Software, LLC ("Orchid Software") for the Orchid desktop software, including its installer and updates (the "Software"). By installing or using the Software, you agree to this Agreement.
1. License grant
Subject to this Agreement, Orchid Software grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Software to access the Service for your internal business purposes.
2. Restrictions
You may not, except as permitted by applicable law:
- copy, modify, or create derivative works of the Software;
- reverse engineer, decompile, or disassemble the Software;
- rent, lease, lend, sell, sublicense, or distribute the Software; or
- remove or alter any proprietary notices.
3. Updates
The Software may download and install updates to improve security and functionality. This Agreement governs those updates unless they are accompanied by separate terms.
4. Ownership
The Software is licensed, not sold. Orchid Software and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights.
5. Data and connectivity
The Software connects to the Orchid backend and third-party services to function, and processes data as described in our Privacy Policy. Your use of the Service is also governed by our Terms of Service.
6. Disclaimer of warranty
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. ORCHID SOFTWARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW.
7. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ORCHID SOFTWARE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE.
8. Termination
This Agreement is effective until terminated. It terminates automatically if you breach it. Upon termination you must stop using and uninstall the Software.
9. Governing law
This Agreement is governed by the laws of the State of Delaware, United States.
