Terms of Service

Effective June 11, 2026

These Terms of Service ("Terms") govern your access to and use of Orchid for Property Management (the "Service") provided by Orchid Software, LLC ("Orchid Software", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.

1. The Service

Orchid is an agent-assisted desktop workspace that helps commercial property managers carry out and automate their work. The Service uses artificial-intelligence models to interpret your requests and, when you direct it to, performs actions inside other applications on your behalf.

2. Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to:

• Use the Service in violation of any law or third-party right;
• Use it to access systems or data you are not authorized to access, or in violation of any other provider's terms;
• Attempt to disrupt, reverse engineer (except as permitted by law), or gain unauthorized access to the Service;
• Use the Service to generate or distribute unlawful, harmful, or deceptive content.

4. Your content

You retain all rights to the content you create with the Service. You grant us a limited license to process that content solely to provide and operate the Service for you, as described in our Privacy Policy.

5. AI-generated output

The Service produces output using automated models, which can be inaccurate or incomplete. You are responsible for reviewing output before relying on it, and the Service is not a substitute for professional, legal, or financial judgment. Actions the agent performs in other applications are taken at your direction and on your authority.

6. Intellectual property

The Service, including the Orchid software, is owned by Orchid Software and licensed, not sold, to you under our License Agreement. These Terms grant you no rights to our trademarks or branding.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ORCHID SOFTWARE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. Provisions that by their nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.

11. Changes

We may update these Terms; material changes will be indicated by a new effective date. Continued use after changes take effect constitutes acceptance.
